License Agreement

This End User License Agreement (EULA) applies to any digital products you purchase from me, Heitor Silva, through the Audio Factory Club website. It's a simple agreement that explains how you can use the products you buy.

By purchasing and downloading a product, you agree to these terms.

Summary of the License

In simple terms: when you buy a product (like a MIDI or sample pack), you are buying a license to use those sounds and files in your own creative work, even commercially. You can't, however, resell, share, or repackage the original files themselves.

1. Grant of License

I grant you, the original purchaser, a single-user, non-exclusive, royalty-free license to use the product's content. This means:

  • Single-User: The license is for you alone. It cannot be transferred or sold to anyone else.
  • Royalty-Free: You can use the content in your own musical, artistic, or audio-visual productions without paying any additional fees or royalties to me.

If you are part of a team or company that needs multiple users to access the product, please contact me to discuss a multi-user license.

2. Allowed Uses (What You CAN Do)

You are welcome to use the content as part of your own compositions and productions in the following ways:

  • Music releases (albums, EPs, singles)
  • Soundtracks for film, television, and video games
  • Content for YouTube, podcasts, and other media
  • Advertising and other commercial projects

The key is that the licensed content must be part of a larger creative work.

3. Prohibited Uses (What You CANNOT Do)

The license strictly forbids repackaging or redistributing the original content. You may not:

  • Sell, share, trade, or give away the original files to any third party.
  • Include the content in any competing product, such as another sample pack, sound library, or virtual instrument, whether for free or for sale.
  • Upload the files to any server, peer-to-peer network, or public-facing storage system.
  • Use the content to train any generative AI, machine learning, or similar models without my prior written consent.

4. Ownership and Copyright

I (Heitor Silva) retain full copyright and ownership of all the original sounds, MIDI files, programming, and documentation included in the products. This agreement grants you a license to use the content, not ownership of the content itself.

5. Storage and Backups

You may install the product files on your primary computer and one additional backup device (like an external hard drive).

6. Governing Law

This agreement is governed by the laws of Singapore. Any disputes arising from this agreement will be resolved in the jurisdiction of Singapore.

7. Liability

I will not be held responsible for any loss of business or profits resulting directly or indirectly from the use or performance of any product. Please test products to ensure they are suitable for your needs.
